Names associated with the SEC action and other civil litigation against Richard Scrushy and other HealthSouth employees

  1. Some of the cases may have been consolidated, so it is not easy to determine how many people or institutions are represented by each legal action, but I have tried to compile an accurate count of all the suits that are pending.
  2. I have broken down the types of litigation into three categories. There are law suits by insurance companies, suits by stock and bond holders, and suits that involve the defendant’s fiduciary responsibility to properly maintain the HealthSouth employee benefits plan. The insurance suits are to nullify policies that would indemnify HealthSouth officers and officials from stockholder lawsuits. They are seeking to void these policies because fraud was involved. This means that if a defendant has some of these insurance company suits against them, but does not have any stockholder suits, they currently do not have any exposure to financial risk. Of course, if the insurance companies win their suits, and if there were to be additional stockholder lawsuits, then they would be exposed to financial loss.
  3. A settlement worth $445 million was reached in late February, 2006 between HealthSouth and many of the shareholders and bondholders. This settlement did not include all of the outstanding litigation, including claims against Richard Scrushy, E&Y or UBS Warburg.
  4. Note: The SEC case was settled (April, 07) in an out-of-court agreement that requires Scrushy to pay $81 million, broken down as $10 million to the SEC and he is credited with $71 million to be paid out as part of related civil litigation.

The SEC has filed a seven count complaint against Scrushy. They are seeking recovery of "ill-gotten gains and losses avoided." According to the complaint, this includes over $200 million dollars from stock sold during the fraud, 10s of millions he got from performance bonuses, stock he bought and retained during the fraud, and even his base salary that they reason he would not of obtained if it were not for the fraud. (Judge Inge Johnson). Scrushy also faces at least 37 pending civil lawsuits- 10 from insurance companies, 23 from holders of HealthSouth stocks or bonds, and 5 involving HealthSouth employee benefits.

Aaron Beam

(founder) CFO 1984-1997

Pled guilty to the conspiracy in criminal court. He has no SEC filing against him, but he is a named defendant in 13 other lawsuits, 10 involving insurance companies, 2 brought by stockholders and 1 as a trustee of the HealthSouth employee benefit plan.

William Owens

Controller (1986-2000, 2003), CFO (2000-01), COO (2002-03), CEO (2002-03)

SEC case was stayed until after Owens was sentenced, but it has yet to be resumed. (Judge Scott Coogler) Besides the SEC hearings, Owens is a defendant in 37 lawsuits--10 involve insurance companies, 22 involve holders of HealthSouth stocks or bonds, and 5 concern the HealthSouth employee benefit plan.

Weston Smith

Controller (2000-01), CFO (2001-02)

SEC case was stayed until after Smith was sentenced, but it has yet to be resumed. (Judge Scott Coogler). Besides the SEC case, Smith is a defendant in 21 lawsuits--8 involve insurance companies, 12 are suits filed by HealthSouth stock or bond holders, and 1 involves the employee benefit plan.

Malcolm “Tadd” McVay

Director of Investor Relations (1999-2000), Treasurer (2000-02) CFO (2002-03)

SEC action: Paid no civil penalty. Permanently barred from serving as an officer of a publicly traded company. Agreed to cooperate with the investigation. (Judge William M. Acker, Jr.) He is a defendant in 18 lawsuits: 10 involve insurance companies, and 8 are concerning HealthSouth stock or bond holders.

Michael Martin

Treasurer, CFO (1997 - 2000)

Pled guilty to conspiracy in criminal court.  Paid no civil penalty. Permanently barred from serving as an officer of a publicly traded company. Agreed to cooperate with the investigation. (Judge William M. Acker, Jr.) Martin is also a defendant in 29 pending lawsuits: 8 involve insurance companies, 20 are from HealthSouth stock or bond holders and 1 is concerning the HealthSouth employee benefit plan.

Daniel Riviere

Pres & CEO of Ambulatory Services Division

He is a named defendant in 8 civil lawsuits, all involving insurance companies. HealthSouth has also been suing Riviere to recover a loan he took out before leaving the company, in the aftermath of the fraud. The HealthSouth suit and all of the other lawsuits are currently held up because Riviere has filed for bankruptcy.
